On March 18, 2025, Cohen Circle Acquisition Corp. I entered into a business combination agreement with VEON Amsterdam B.V., VEON Holdings B.V., Kyivstar Group Ltd., and Varna Merger Sub Corp., collectively known as the Kyivstar Group. This agreement marks a significant step in the company’s strategic growth, potentially positioning PubCo as the first U.S.-listed pure play Ukrainian investment opportunity. The business combination is subject to shareholder and regulatory approvals, and its completion could impact the company’s operations and market positioning, as well as influence investor interest and VEON’s ownership stake in PubCo.
