Cognyte Software Faces Board Election Challenge

Cognyte Software (CGNT) has released an update.

Cognyte Software Ltd. announces a significant update for its upcoming Annual General Meeting on September 4, 2024, with a supplemental proxy statement including resolutions proposed by shareholder group Value Base Ltd. These propose the election of Mr. Tal Yaacobi as a Class III director and the approval of indemnification, insurance, and compensation arrangements for him, challenging the re-election of existing board members. The company’s Board has unanimously recommended voting against these shareholder-proposed resolutions, considering them not in the best interest of the company or its shareholders.
