CNGR Advanced Material Launches New Board Election and Confirms Governance Structure

CNGR Advanced Material Co., Ltd. has initiated the election of its third board session as the term of the current board approaches expiry, in line with PRC company law and the listing rules in Shenzhen and Hong Kong. The new board will comprise 10 directors, including six executive directors, one of whom is an employee representative, and four independent non-executive directors.

The existing directors Deng Weiming, Tao Wu, Liao Hengxing, Liu Xingguo, Deng Jing, Cao Feng, Hong Yuan, Jiang Liangxing and Wong Sze Wing have been nominated to continue, with their appointments to be confirmed at an upcoming extraordinary general meeting and formalised via new service contracts. The company also reaffirmed that its independent directors meet Hong Kong independence criteria and disclosed a continued deviation from the Corporate Governance Code by combining the roles of chairman and president in Mr. Deng Weiming, arguing this supports leadership continuity and efficient strategic decision-making while pledging to review the arrangement over time.
