Clearwater Analytics Holdings ( (CWAN) ) has shared an update.

On May 6, 2026, Clearwater Analytics Holdings, Inc. held a special meeting of stockholders to vote on a previously announced agreement and plan of merger under which GT Silver Merger Sub, Inc. will merge with and into Clearwater, leaving the company as a wholly owned subsidiary of GT Silver BidCo, Inc. A quorum was achieved with approximately 70.6% of outstanding shares represented, and stockholders approved both the merger agreement and an advisory vote on compensation for named executive officers in connection with the transaction.

Because sufficient votes were obtained, a proposed adjournment to solicit additional proxies was not needed, and the merger now moves forward subject to remaining regulatory clearances and customary closing conditions. Clearwater has received all required regulatory approvals except for clearance from Australia’s Foreign Investment Review Board, for which an application was submitted in the second quarter of 2026, and, contingent on that approval, the deal is expected to close in the second quarter of 2026, signaling the company’s transition to private ownership under GT Silver BidCo.
