Cicor Technologies ( (CH:CICN) ) has provided an update.

Cicor Technologies’ planned acquisition of UK-based TT Electronics has collapsed after TT shareholders voted against a court-approved Scheme of Arrangement that required a 75% majority to proceed, despite backing from TT’s board and Cicor’s insistence that the combination offered strong strategic and financial benefits. As a result, Cicor will not pursue the transaction further and will expense roughly CHF 7 million in previously capitalized transaction-related costs, prompting a downward revision of its 2025 reported EBITDA forecast to CHF 53–57 million, while underlying adjusted EBITDA expectations remain unchanged at CHF 63–67 million, underscoring both the short-term financial hit and the group’s continued commitment to its value-focused M&A strategy.
