On December 2, 2025, Churchill Capital Corp IX issued an unsecured promissory note worth up to $1,500,000 to its sponsor, Churchill Sponsor IX LLC, to address its working capital needs. This note, which is interest-free, matures upon the closing of an initial business combination or the company’s liquidation. The sponsor has the option to convert the outstanding amounts into company units at a conversion price of $10 per unit, which includes shares and warrants, and these units will have registration rights similar to those issued during the company’s IPO.
