China SXT Pharmaceuticals, Inc. has entered into a securities purchase agreement with Streeterville Capital, LLC, involving the sale of a convertible promissory note worth $797,500, which is convertible into ordinary shares of the company. The agreement leverages an exemption from securities registration under the Securities Act of 1933, and the transaction includes an original issue discount and coverage of transaction costs, setting the purchase price at $750,000. The closing of the transaction is scheduled no later than May 8, 2024, and will be executed via exchange of signed documents over email.
