China Southern Airlines Company Limited Class H ( (HK:1055) ) has issued an update.
China Southern Airlines plans a private placement of up to 5,436,289,835 new A shares to no more than 35 specified investors, including its controlling shareholder China Southern Air Holding (CSAH), to raise proceeds of up to RMB 15 billion. The funds will be used to purchase new aircraft and supplement general working capital, underscoring the airline’s continued fleet expansion and balance-sheet support amid sector capital demands.
CSAH will subscribe between RMB 5 billion and RMB 10 billion of the new A shares, making the deal a connected transaction under Hong Kong listing rules that requires reporting, public announcement and approval by independent shareholders at a general meeting. The shares will be issued under a specific mandate to be sought from independent investors, and the company cautions that the transaction may not proceed as it remains subject to multiple conditions and regulatory clearances.
