China Galaxy Securities Co. has signed a new securities and financial products transactions framework agreement with its controlling shareholder, Galaxy Financial Holdings, that will run from 1 January 2026 to 31 December 2028, replacing the existing pact expiring at the end of 2025. Under the new arrangement, the group will continue, on a voluntary and non-exclusive basis and on normal commercial terms, to transact a wide range of securities and financial products with the Galaxy Financial Holdings Group, including fixed-income and equity products, derivatives, financing transactions such as repos, and other OTC and regulated financial instruments. Because Galaxy Financial Holdings owns about 47.43% of China Galaxy Securities, these dealings are classified as continuing connected transactions under Hong Kong listing rules, triggering reporting, announcement and annual review requirements, though they are exempt from independent shareholders’ approval and, in the case of certain financial assistance, from broader disclosure obligations. The renewal reinforces business linkages between the broker and its parent group while remaining within the regulatory thresholds designed to protect minority investors from conflicts of interest in related-party transactions.
