Checkpoint Therapeutics Inc (CKPT) has released an update to notify the public and investors about the unregistered sales of equity securities.

The issuance of the Common Warrants and Placement Agent Warrants, along with the shares of Common Stock issued upon their exercise, have not been registered under the Securities Act of 1933. They are being offered under an exemption found in Section 4(a)(2) of the Securities Act.
