Cementos Pacasmayo SAA ( (CPAC) ) just unveiled an update.

On March 27, 2026, Cementos Pacasmayo responded to a request from Peru’s securities regulator SMV to detail the S/77.6 million recorded as “Expenses associated with the Holcim acquisition” in its 2025 audited financial statements. The company explained these non-recurring costs comprised S/5.6 million in legal, tax and financial advisory fees, S/65.3 million in senior management bonuses, and S/6.7 million in an early education donation to UTEC that was specifically categorized as a transaction expense under the Holcim stock purchase agreement.

Pacasmayo stressed that the CEO’s large performance bonus was contractual and tied to the company’s growth, not a golden parachute, while retention incentives for top managers were approved in November 2025 to ensure continuity during the change of control. The company also disclosed that controlling shareholder Eduardo Hochschild voluntarily reimbursed the advisory fees in March 2026 and emphasized that all transaction-related expenses were transparently presented as a separate line item, vetted by the audit committee and external auditors, and highlighted to investors in its February 2026 earnings materials and shareholder call.
