CEAT Limited’s board has approved the audited standalone and consolidated financial results for the quarter and year ended 31 March 2026, with the statutory auditors issuing unmodified opinions. The board has also recommended a dividend of Rs 35 per equity share for FY 2025-26, to be paid within 30 days of shareholder approval at the upcoming annual general meeting.
The board endorsed the continuation of Paras Kumar Choudhary as a non-executive, non-independent director, allowing him to remain on the board despite crossing 75 years of age, subject to shareholder approval. Directors also adopted amendments to the company’s code governing fair disclosure, insider trading procedures and legitimate purpose policy, and confirmed plans to avail up to Rs 1,000 crore in credit facilities during FY27 within existing borrowing limits to support business needs.
The company indicated that details of the forthcoming annual general meeting will be shared separately in line with regulatory directives. CEAT further notified that its trading window for dealing in company securities will reopen 48 hours after the declaration of the approved financial results, in accordance with SEBI’s insider trading regulations.
