Caspian Sunrise has agreed to acquire 100% of Kazikhan Limited, which owns manganese and gold-focused mineral licences in central Kazakhstan, for an initial $25 million in shares and up to $45 million depending on future gold reserve certification. The deal brings state-confirmed probable manganese reserves of about 8 million tonnes at the Borly open-pit mine and C2-category gold reserves at the Zhambas prospect, though none are reported to JORC standards.
Current manganese output at Borly is around 1,000 tonnes of ore a month, but Caspian Sunrise plans to invest about $4.5 million in new washing and crushing lines to raise production to up to 20,000 tonnes a month, funded largely through industry prepayments and an interim $1 million secured loan. The transaction, a related-party deal with members of the Oraziman family, is structured with share-based initial and deferred consideration and is intended to diversify revenue streams, lessen exposure to sanctions-hit oil markets and potentially enhance long-term value if gold reserves are formally certified or the gold assets are sold.
