Caring Brands Incorporation ( (CABR) ) just unveiled an update.

On March 19, 2026, Caring Brands, Inc. entered into a private investment in public equity with an accredited investor, issuing Series A Convertible Preferred Stock and 9,473,685 common stock warrants at a $0.40 exercise and conversion price for aggregate gross proceeds of about $3.6 million. The securities, which carry ownership caps and are unlisted, were sold under a registration exemption, with the investor granted a 12‑month right of first refusal on future financings and the ability to buy up to an additional $4 million of similar securities at a variable discount-based price.

The company plans to use approximately $3.075 million of the proceeds to repurchase an aggregate 6,250,000 common shares from its CEO, chairman and NovoDX, Inc., reducing total outstanding common stock from 14,761,925 to 8,511,925 shares, with the balance allocated to general corporate and working capital needs. In connection with the deal, Caring Brands filed a Nevada certificate of designation establishing the Series A preferred at a $1,000 stated value with an 8% dividend and dividend parity on an as-converted basis with common stock, reshaping its capital structure and consolidating insider holdings while potentially diluting future common shareholders upon conversion and warrant exercise.
