On August 14, 2025, Capitalworks Emerging Markets Acquisition Corp Class A secured a loan agreement with Valleypark Road, LLC for up to $1,000,000 to support working capital needs. This loan, documented by a non-interest-bearing promissory note, is contingent upon the company’s successful completion of a business combination. If such a combination occurs, Valleypark has the option to convert the loan into warrants for the company’s Class A shares. Should the company fail to complete a business combination, the loan will be forgiven unless there are available funds outside of its trust account.
