To facilitate the timely delivery of these shares, CapAI plans to enter into a stock loan agreement with its Executive Chairman, Richard Andrew Edwards, which requires shareholder approval as a substantial property transaction under UK law. This agreement involves transferring shares held by Mr. Edwards to the company, which will then issue an equivalent number of new shares back to him, ensuring market stability without cash consideration or interest.
