CANEX Metals has corrected the number of Gold Basin Resources Corporation shares taken up under its offer to acquire all outstanding shares. The company now reports it acquired 70,088,199 Gold Basin shares, equal to 51.86% of Gold Basin’s issued and outstanding shares, in exchange for 41,492,194 CANEX shares, down from the previously stated 73,026,822 shares, or 54.04%.
The revision stems from deficiencies identified by Gold Basin’s transfer agent, including delays in processing estate transfers and replacing share certificates because Gold Basin lacked an active transfer agent at the offer’s expiry. CANEX, which now holds a controlling interest in Gold Basin, is working with Laurel Hill Advisory Group and affected shareholders to remedy deficient tenders so they can participate in a potential future subsequent acquisition transaction, while an amended early warning report will be filed on SEDAR+ reflecting the updated holdings.
