BYD Strengthens Corporate Governance With New Nomination Committee Rules

BYD Company Limited has formalized detailed implementation rules for its Nomination Committee, a special committee under the board of directors tasked with overseeing the selection and governance of directors, the president and other senior officers. The rules define the committee’s composition, requiring at least three directors with a majority of independent non-executive directors, gender diversity, and an independent non-executive director as chairman, with terms aligned to those of the board.

Operational procedures are set out for convening meetings, voting, record-keeping and the use of teleconferencing and written resolutions, while ensuring adequate information and resources are provided to the committee.
