On February 5, 2026, Solmate Infrastructure, the operating name of Brera Holdings PLC, terminated a previously announced non-binding term sheet to acquire digital asset firm RockawayX, opting not to proceed with the planned merger. The move, disclosed in a February 9, 2026 filing and press release, reflects management’s view that shifting market conditions have made acquisition targets cheaper and more plentiful, prompting a preference for equity-efficient growth that avoids shareholder dilution.

Instead of combining entities, Solmate and RockawayX will maintain and deepen their existing strategic partnership under a validator services agreement, with RockawayX remaining both a major investor and a key infrastructure and yield-optimization partner. RockawayX’s CEO Viktor Fischer will continue to serve on Solmate’s board, and the companies plan to focus on Solmate’s bare-metal validator strategy in the UAE, which aims to deliver lower latency, improved execution for market participants, and full capture of staking rewards while limiting technical and operational risks.
