Bremworth Limited has confirmed that the timeline for its proposed acquisition by Floorscape Limited has been pushed out after the New Zealand Commerce Commission extended its decision date on the deal to 29 May 2026. To accommodate this delay, Bremworth and Floorscape have agreed to move the scheme implementation agreement end date from 1 July to 7 August 2026, giving either party the right to terminate if the scheme is not completed by then.
If the competition watchdog grants clearance on 29 May and other conditions are met, the parties expect to implement the scheme on 6 August 2026, leaving the transaction on track despite regulatory slippage. Bremworth’s board continues to back the deal as the best value outcome for investors, unanimously recommending shareholders vote in favour, subject to an independent adviser’s valuation and the absence of a superior competing proposal.
