Bravida Holding AB ( (SE:BRAV) ) has provided an announcement.

Bravida Holding AB’s annual general meeting approved the 2025 financial statements, set a dividend of SEK 3.80 per share, and granted discharge from liability to the board and CEO, while re-electing chairman Fredrik Arp and most directors and adding two new board members alongside KPMG as auditor. Shareholder resolutions also set updated board fees and executive remuneration guidelines, now allowing sustainability targets in long-term share-based incentives, signalling an increased focus on ESG-linked performance.

The meeting authorised the board to repurchase and transfer up to 10 percent of the company’s shares, issue new shares corresponding to up to 10 percent dilution, and implemented a new long-term incentive programme for senior executives and key employees involving Class C shares. These capital and incentive measures enhance Bravida’s financial flexibility for acquisitions, support efficient capital allocation, and are designed to align management and employee incentives with long-term shareholder value and the company’s strategic growth ambitions.
