Braskem SA ( (BAK) ) has provided an announcement.

Braskem S.A. has updated and restated its corporate bylaws, reaffirming its status as a Level 1 issuer on Brazil’s B3 exchange and detailing its broad corporate purpose across chemicals, petrochemicals, plastics, energy, logistics and technology-related services. The bylaws also formalize the company’s ability to operate branches in Brazil and abroad, take equity holdings in other companies, and expand into digital and biorefinery technologies adjacent to its core business.

The revised bylaws specify Braskem’s current share capital of R$8.04 billion, divided among common and Class A and B preferred shares, and authorize increases up to a defined cap, while allowing adjustments in preferred share proportions without a special quorum. They also set rules for share payment with tax-incentive funds, non-transferability periods for FINOR-backed shares, conversion mechanics between share classes, and grant tag-along rights at equal price per share in a change-of-control event, clarifying investor protections and capital-structure flexibility.
