BOE Varitronix has entered into a new framework tenancy agreement with its controlling shareholder BOE, under which BOE will lease certain properties it owns, or that are owned by its subsidiaries, to the company from 1 May 2026 to 30 April 2029. The arrangement covers rental and property management services for premises that the group may occupy under separate tenancy and property service agreements.
The rent and service fees will be set with reference to prevailing market conditions, comparable properties and the respective interests of both parties, with the company emphasizing that pricing should be fair and reasonable. As the deal constitutes a continuing connected transaction under Hong Kong Listing Rules, it will be subject to reporting, announcement and annual review requirements, but will not require a shareholder circular or independent shareholders’ approval, signaling a relatively routine renewal of intra‑group leasing arrangements.
