On May 23, 2025, Benson Hill completed the sale of substantially all its assets to Confluence Genetics, LLC, following a court-approved bidding process. This asset sale, conducted under Section 363 of the Bankruptcy Code, involved the assumption of certain liabilities and the termination of a $11 million debtor-in-possession credit facility. The company does not expect any proceeds from the sale to be available for distribution to its stockholders. Additionally, the board of directors underwent significant changes, with Daniel Cosgrove becoming the sole director and continuing as Interim CEO in an independent contractor capacity.
