The latest announcement is out from BeijingWest International ( (HK:2339) ).

BeijingWest Industries International has amended an intra-group asset transfer agreement between its wholly owned unit BWI Poland and connected party BWI Indiana to extend the deadline for acquiring a second production line. The line, intended to expand output of passive dampers and SARC products in Poland for about USD 1.25 million, will now be transferred by 31 December 2026 instead of the original 2025 date.

The company said ownership of Production Line I and related components was completed on schedule, but softer or evolving demand forecasts prompted both parties to delay completion of Production Line II. Directors believe the extension allows time to monitor business development, avoid unnecessary capital commitments and reduce the risk of overcapacity, and they deem the terms fair, commercially acceptable and without material negative impact on operations or financial performance.

Under Hong Kong listing rules, the connected transaction remains subject to reporting and announcement obligations, but is exempt from shareholder approval and circular requirements due to its size. The board, including independent non-executive directors, maintains that the addendum is on normal commercial terms and in the best interests of the group and its shareholders.
