Battery Mineral Resources Corp. has closed the first tranche of a non-brokered LIFE private placement, issuing 50,000,000 common shares at $0.20 each for gross proceeds of $10 million, with shares issued under the Listed Issuer Financing Exemption in Canada and via private placement in the United States and other jurisdictions. Net proceeds will be used to advance processing plant operations and underground development at the Punitaqui Mining Complex in Chile and for working capital, while a portion of the financing involved related parties under MI 61-101 and the company continues to pursue a larger, separate private placement and has completed a shares-for-debt settlement to strengthen its balance sheet.

The offering included a cash commission to EAS Advisors LLC, acting through Odeon Capital Group, while shares sold to U.S. investors are treated as restricted securities under U.S. law. The related-party participation remained below thresholds requiring a formal valuation or minority approval, and the company did not file a material change report 21 days in advance in order to access funds quickly, underscoring the importance of this capital for Punitaqui’s ramp-up and overall liquidity.
