Base Resources Limited has officially announced the completion of its acquisition by Energy Fuels Inc., as the Federal Court of Australia has approved the scheme of arrangement, with Base Resources shares expected to be suspended from trading on AIM. Alongside this, a Special Dividend of AUD 6.5 cents per share has been declared, set to be paid unconditionally to shareholders on October 1, 2024. Shareholders will also be entitled to receive 0.0260 Energy Fuels shares for each Base Resources share they hold, except for ineligible foreign shareholders and electing small shareholders who will instead receive net cash proceeds from a sale managed by a sale agent.
