On January 1, 2026, BankFinancial completed its previously announced merger with First Financial, after which BankFinancial’s banking subsidiary was merged into First Financial Bank, with First Financial Bank emerging as the surviving institution. At the effective time of the transaction, each outstanding share of BankFinancial common stock was converted into the right to receive 0.480 shares of First Financial common stock, BankFinancial ceased to exist as a separate corporate entity, and its charter and bylaws terminated by operation of law. As a consequence of the merger, BankFinancial no longer met NASDAQ Global Select Market listing requirements, trading in its common stock was suspended and the shares were delisted, and First Financial, as successor issuer, plans to terminate the registration of BankFinancial’s common stock and suspend its reporting obligations with the U.S. Securities and Exchange Commission, further consolidating the combined company’s corporate and regulatory structure under First Financial’s existing governing documents.
