BRC Group Holdings, Inc. said on March 12, 2026 that it had executed a series of Section 3(a)(9) bond-for-equity exchanges and cash repurchases with a long-time institutional investor, cancelling 1,343,551 units of senior notes in return for 4,201,300 common shares and buying back additional 5.0% notes for about $4 million. These moves, together with a previously announced March 30, 2026 redemption of roughly $96 million of 5.50% notes, will cut outstanding debt by about $37.9 million, increase the share count to nearly 34.8 million, and reflect management’s push to de-lever after bringing multiple 2025 quarterly filings current and as it seeks extra time to file its 2025 annual report and prepares to release full-year results by March 31, 2026.
The company also disclosed that its compensation committee approved a $700,000 2025 bonus for Chief Financial Officer Scott Yessner, bringing his total 2025 pay to $2.52 million, underscoring continued investment in senior leadership amid the balance sheet reshaping and audit catch-up. While BRCGH did not receive cash proceeds from the exchanges, the transactions reduce its net debt and could strengthen its financial flexibility and positioning across its financial, telecom and retail businesses ahead of its upcoming earnings release and investor call.
