On May 20, 2026, AvalonBay Communities and Equity Residential agreed to merge in an all‑stock merger of equals that will combine more than 180,000 rental apartments under a new name and create a company with a pro forma equity market capitalization of about $52 billion and an enterprise value of roughly $69 billion. AvalonBay shareholders will receive 2.793 Equity Residential shares for each AvalonBay share and are expected to own about 51.2% of the combined REIT, whose dual headquarters will be in Arlington, Va., and Chicago, Ill.

Governance will be evenly split between the two legacy boards, with Steve Sterrett as chair and AvalonBay’s Benjamin Schall as CEO, and the transaction is positioned to create one of the apartment sector’s most efficient operators with enhanced scale, self‑funded development capacity and expanded ability to invest in both market‑rate and affordable housing.
The merger agreement includes customary conditions such as shareholder approvals, regulatory clearances and NYSE listing of new shares, with a long‑stop date of May 20, 2027, and reciprocal termination fees of about $1.0–$1.1 billion subject to REIT limits. Until closing, both REITs are constrained to regular quarterly dividends and REIT‑required distributions, aligning payout schedules so investors in each company receive dividends covering the same periods before completion of the transaction.
