Augmentum Fintech Issues Scheme Document for Verdane-Backed Takeover

Augmentum Fintech PLC ( (GB:AUGM) ) has shared an announcement.

Augmentum Fintech has published the formal scheme document for its recommended cash acquisition by Frontier Bidco, a vehicle controlled by Verdane, setting out the full terms, conditions, and timetable for the deal. The transaction, to be implemented via a court-sanctioned scheme of arrangement, now moves to a critical shareholder approval phase, with court and general meetings scheduled for 15 April 2026 and the board unanimously urging investors to vote in favour, paving the way for delisting if regulatory and court conditions are met.

The scheme’s progress hinges on majority backing from scheme shareholders and approval of a key resolution at the general meeting, alongside regulatory clearance including an FCA change-in-control condition. If sanctioned, Augmentum shares will cease trading on the London Stock Exchange within days of the effective date, delivering cash consideration to investors and transferring control of the specialist fintech investor to Verdane, with an ultimate long-stop date for completion set at 31 August 2026.
