Asker Healthcare Group has executed a targeted share transaction to support its employee incentive structure, issuing 670,000 Class C shares, immediately repurchasing them, and reclassifying them into ordinary shares. This maneuver, carried out under a mandate from the August 2025 extraordinary general meeting, increases the total number of ordinary shares to 383,706,497 and provides a pool of 670,000 shares to be used for deliveries under the company’s long-term, performance-based investment share program LTIP 2025.

By structuring the issuance and immediate buyback through Nordea at quota value, Asker ensures a controlled and transparent mechanism for funding its incentive plan without a lasting increase in free-float equity.
