On March 27, 2026, Ares Holdings L.P., a subsidiary of Ares Management Corporation, entered into a new $400 million term loan credit agreement with a syndicate of lenders led by Bank of America, N.A., as administrative agent. The facility, fully funded at closing and maturing on March 27, 2029, bears floating interest based on Term SOFR or a base rate plus a margin tied to Ares Management’s senior long-term unsecured debt ratings, and is guaranteed by certain company subsidiaries.

The agreement imposes covenants limiting additional indebtedness, liens, investments, mergers, significant asset sales, and distributions, while requiring Ares to maintain a net debt to Adjusted EBITDA ratio not exceeding 4.0x and Assets Under Management of at least approximately $179.8 billion. Proceeds are designated to refinance existing debt, cover related fees and expenses, and support working capital and general corporate purposes, positioning Ares to manage its leverage profile and liquidity under clearly defined financial and operating constraints.
