On May 11, 2026, Ares Capital Corporation issued $800 million of 5.550% unsecured notes due January 15, 2030, under a supplemental indenture with U.S. Bank Trust Company, National Association. The notes, which pay interest semiannually starting January 15, 2027 and are callable at Ares Capital’s option, include covenants tied to investment company leverage rules and a change-of-control repurchase provision if ratings fall below investment grade.

Ares Capital plans to use the net proceeds to repay borrowings under its credit facilities, with the potential to reborrow for general corporate purposes, including new investments in portfolio companies. The offering, priced under a May 4, 2026 purchase agreement with a syndicate of underwriters, closed on May 11, 2026, and is paired with an $800 million interest rate swap with JPMorgan Chase Bank converting the fixed 5.550% coupon into a floating SOFR-based rate through January 15, 2030.
