AppYea ( (APYP) ) has issued an announcement.

On December 31, 2025, AppYea completed the acquisition of Techlott’s blockchain-based lottery technology in an all-stock deal valued at 1,277,922,611 common shares, equivalent to 35% of AppYea’s fully diluted equity, initially structured via 49,117 shares of newly created Series B preferred stock that will automatically convert once the company increases its authorized common shares, with Techlott receiving anti-dilution protection. Between December 31, 2025 and January 5, 2026, AppYea further strengthened its balance sheet by converting roughly $0.8 million of outstanding convertible notes into about 245 million common shares and securing a two-year extension on an additional $863,840 of convertible debt, while on December 31, 2025 it appointed Techlott executives Mark Katzenelson as president and Ben Harris as CTO and directors under lucrative three-year consulting agreements, supported by the establishment of Series B preferred stock carrying high conversion and voting rights, collectively reshaping the company’s capital structure, governance and strategic direction toward blockchain-based lottery and gaming infrastructure.
