Appen ( (AU:APX) ) has issued an update.
Appen has issued an addendum to its 2026 Notice of Annual General Meeting to include a new conditional spill resolution under section 250V of the Corporations Act in the AGM agenda. This action follows the dispatch of the original notice and is accompanied by a replacement voting/proxy form being sent to shareholders, with the AGM proceeding as scheduled on 22 May 2026 in Sydney.
The spill resolution will only be put to shareholders if at least 25% of votes cast oppose the adoption of the FY25 remuneration report, highlighting potential scrutiny of Appen’s executive pay practices. The board is unanimously urging shareholders to vote against the spill motion if it arises, signalling its desire to maintain board stability amid governance pressure and reinforcing engagement with investors through updated proxy arrangements and clear voting deadlines.
