Anhui Expressway Joins S19 Consortium JV for New Anhui Expressway Project

Anhui Expressway Company ( (HK:0995) ) just unveiled an announcement.

Anhui Expressway Company Limited has entered into a joint venture agreement with Anhui Transportation Holding Group and other members of the S19 consortium to establish a project company to implement the S19 Huainan–Tongcheng Expressway Shucheng–Tongcheng section. The consortium will contribute a total of RMB1,447 million in capital, of which Anhui Expressway will invest RMB144.75 million, and the new joint venture will have initial registered capital of RMB200 million. As the consortium partners are the company’s controlling shareholder and its associates, the transaction is classified as a connected transaction under Hong Kong listing rules; when aggregated with Anhui Expressway’s earlier joint ventures for the S62 and S98 expressway projects, the applicable percentage ratios exceed 0.1% but remain below 5%, meaning the deal requires reporting and announcement but is exempt from independent shareholders’ approval. The arrangement underscores the company’s ongoing strategy of partnering with its parent group to expand its expressway portfolio in Anhui while operating within the connected transaction framework of the Hong Kong Listing Rules.
