On December 16, 2025, Andersen Group Inc. entered into a series of intercompany and governance agreements tied to its initial public offering of Class A common stock, including an LLC agreement for AT Umbrella LLC, a managing director matters agreement, a tax receivable agreement and promissory notes between AT Umbrella LLC and Andersen Aggregator LLC. That same day, the company appointed Dorice Pepin and Joseph Karczewski to its board of directors under its standard indemnification arrangements, and on December 18, 2025, it adopted amended and restated bylaws that align with the capital structure outlined in its registration materials. Also on December 18, 2025, Andersen Group completed its IPO of 12,650,000 Class A shares at $16.00 per share, including the full exercise of the underwriters’ over-allotment option, using the net proceeds to purchase an equal number of Class X Umbrella Units in AT Umbrella LLC and channel funds to that entity and its subsidiaries for IPO-related fees, general corporate purposes, and planned investments in technology, infrastructure, training and potential strategic acquisitions to support its growth plans.
