On May 5, 2026, Amkor Technology, Inc. issued $1.15 billion of 0.00% Convertible Senior Notes due July 15, 2031, fully and unconditionally guaranteed on a senior unsecured basis by certain subsidiaries that also guarantee its 5.875% senior notes due 2033. The zero-coupon notes, sold via a private Rule 144A placement with an initial conversion price of about $106.37 per share and subject to customary conversion, redemption, and fundamental change provisions, position Amkor to raise substantial capital without immediate equity dilution while retaining flexibility to settle conversions in cash and/or stock.

The company also entered into capped call transactions on April 30 and May 1, 2026 covering the shares underlying the notes, with an initial cap price of $139.50 per share and a cost of about $56.4 million. These derivative hedges are designed to mitigate potential dilution and reduce Amkor’s exposure to cash payments above principal upon conversion, although dilution could still occur if the stock price exceeds the capped call level, affecting future returns for equity holders and note investors.
