Ambipar Emergency Response has filed a Form 12b-25 to notify investors that it will delay its Form 20-F (Yearly Report) for the fiscal year ended December 31, 2025. The company says it cannot file the annual report on time without unreasonable effort and expense.

The main driver of the delay is the ongoing restructuring of the business in both Brazil and the U.S. Ambipar’s parent companies have entered Brazilian judicial recovery, while Ambipar Emergency Response itself is in Chapter 11 proceedings in the U.S. Bankruptcy Court in Houston.
