Ambev SA ( (ABEV) ) has issued an announcement.

On March 30, 2026, Ambev’s board met by videoconference and approved a proposal to allocate 2025 net income of R$15.5 billion, directing funds to a tax incentives reserve, interest on equity, and an investments reserve, while also re-ratifying 2024 reserve allocations decided at the April 29, 2025 shareholders’ meeting. The board also set a proposed 2026 compensation cap of up to R$162.2 million for management and R$2.5 million for the fiscal council, endorsed bylaw changes to adjust the executive officers’ framework and dividend rules, called ordinary and extraordinary shareholders’ meetings for April 30, 2026, and confirmed a capital increase via the stock option plan with the issuance of 2,026,133 new common shares, raising capital to R$58.3 billion.
