Allied Gaming & Entertainment ( (AGAE) ) has issued an announcement.

On May 6, 2026, Allied Gaming & Entertainment received a Nasdaq staff notice that its shares are scheduled for delisting from the Nasdaq Capital Market and suspension on May 15, 2026, after failing for 180 days to meet the $1.00 minimum bid price and remaining ineligible for an additional compliance period. The company has also not filed its 2025 Form 10-K, giving Nasdaq a second basis for delisting, and plans to appeal to an independent hearings panel, pursue measures such as a reverse stock split and seek a stay of suspension to preserve its listing.

In a separate move on May 11, 2026, the board amended the bylaws to lower the shareholder quorum requirement for meetings from a majority of outstanding shares to 33 1/3%, potentially easing the passage of corporate actions as the company works through its compliance issues. Management has signaled confidence that it can restore compliance and address risks tied to its strategic transformation, but the outcome of the Nasdaq proceedings and the company’s ability to remedy its filing delinquency remain uncertain for investors.

Spark’s Take on AGAE Stock

According to Spark, TipRanks’ AI Analyst, AGAE is a Neutral.

The score is weighed down primarily by very weak fundamentals—deep losses, near-zero margins, and heavy ongoing cash burn—alongside a pronounced downtrend in the stock. Valuation is constrained by negative earnings, and corporate events add risk due to the Nasdaq delisting warning despite some supportive governance developments.
