Aker ASA ( (AKAAF) ) has issued an update.
Aker ASA has completed its previously announced participation in the Series C funding round of Nscale Global Holdings, contributing USD 350 million in cash, transferring its 50 percent stake in the Aker Nscale joint venture and realizing an earn-out mechanism. Following the transaction, Aker’s stake in Nscale rises from 9.3 percent to about 23.9 percent on a fully diluted basis, or roughly 27.3 percent of the share capital.
Nscale has also agreed to acquire American Intelligence & Power Corporation, a move that will slightly dilute Aker’s enlarged stake in Nscale. After both the Series C funding and the acquisition close, Aker’s ownership in Nscale is expected to settle at around 22.7 percent on a fully diluted basis, or approximately 25.8 percent of the share capital, indicating Aker’s continued role as a significant strategic investor.
