Agile Group Holdings has agreed to sell its equity interest in a project company via an indirect, non-wholly owned subsidiary, exiting the entity entirely and removing it from the group’s consolidated financial statements. The RMB95 million consideration will be settled through assignment of debt that will, in turn, be repaid by transferring specified target properties to Agile, with the purchaser pledging its remaining 50% stake in the project company as security.
Under the deal, the project company will transfer target properties to Agile to settle the assigned debt, and Agile must dispose of these properties within six months, retaining the net sale proceeds. Any properties unsold after six months will still be transferred to Agile, ensuring value recovery, while the transaction is classified as a discloseable transaction under Hong Kong listing rules, signaling a moderate but not transformational shift in Agile’s project portfolio and risk exposure.
