Aegon ( (AEG) ) just unveiled an announcement.

On April 30, 2026, Aegon announced it had priced USD 500 million of senior unsecured notes with a 5.625% fixed coupon and a ten-year maturity, due May 7, 2036, to be issued by Aegon Funding Company LLC and guaranteed by Aegon Ltd. The issuance, expected to settle on May 7, 2026, will primarily fund the repurchase of certain unregistered subordinated notes via a concurrent tender offer for eligible non-U.S. investors, with any remaining proceeds earmarked for general corporate purposes, and an application has been made to list the new notes on the New York Stock Exchange.

The deal underscores Aegon’s continued active management of its capital structure by replacing subordinated debt with senior funding while broadening its presence in U.S. dollar capital markets. Listing on the NYSE is set to enhance liquidity and visibility of the notes for global fixed-income investors, and the transaction may improve the company’s funding flexibility and optimize its liability profile over the coming decade.
