The company says the late filing stems from recently discovered errors in its remaining performance obligations disclosure, a non-cash metric in Note 2 of prior Form 10-K (Yearly Report) and Form 10-Q (Quarter Report) filings.

These errors relate only to disclosure of remaining performance obligations and are not expected to affect the Balance Sheets, Statements of Operations and Comprehensive Income (Loss), Statements of Cash Flows, or other financial metrics. Nevertheless, Accuray must amend the affected Form 10-K (Yearly Report) and Form 10-Q (Quarter Report) filings before it can finalize the latest quarterly report.

Management explains that preparing amended Form 10‑K/A (Yearly Report) and Form 10-Q/A (Quarter Report) has required additional time and coordination with its external auditors. Because the new Form 10-Q (Quarter Report) must incorporate revised figures from these amendments, the quarterly filing cannot be completed within the original deadline.

Accuray expects to submit the December 31, 2025 Form 10-Q (Quarter Report) within the five-calendar-day extension window allowed under SEC Rule 12b-25. The company also confirms that all other required periodic reports over the past 12 months have been filed on time, signaling this delay is a specific, one-off issue rather than an ongoing compliance pattern.

The company does not anticipate any significant change in its results of operations compared with the same quarter a year earlier. Investors should note that management’s statements about filing timing and the impact of the amendments are forward-looking and subject to risks, including potential delays and broader market or relationship impacts.
