In a regulatory filing, the company stated, “On December 23, 2025, ServiceNow (NOW) entered into an amendment to the previously filed employment agreement with William R. McDermott, Chairman and Chief Executive Officer of the company. The amendment, to become effective January 1, 2026, sets forth the agreement between the company and Mr. McDermott that he will remain in service to the company through at least December 31, 2030, during which time he will serve in the role of CEO, co-CEO, Executive Chairman or Non-Executive Chairman, at the discretion of the company’s Board of Directors and with the mutual understanding of Mr. McDermott and the Board. The amendment further provides that in Mr. McDermott’s role as CEO or co-CEO, his total compensation will be commensurate with the performance of the company against its compensation peer group and, should he move into the role of Executive Chairman, his compensation will be commensurate with the level of responsibilities he is performing in the role.”
