On December 31, 2025, WideOpenWest completed a merger in which each outstanding share of its common stock was automatically converted into the right to receive $5.20 in cash, with various equity and cash-based incentive awards for employees, directors and rollover stockholders either vested, converted into cash awards, or treated as rollover shares in line with the merger agreement. As a result of the transaction, WideOpenWest became an indirect wholly owned subsidiary of the acquiring parent, its common stock was delisted from the New York Stock Exchange and is being deregistered with the SEC, and former public shareholders have ceased to have any rights other than to receive the cash merger consideration, while the company’s charter and bylaws were simultaneously amended and restated to reflect its new private ownership structure.
