The plan covers executive officers and certain other officers, including current named executive officers, and provides lump-sum severance equal to two times base salary, two times target annual incentive, a prorated target annual incentive for the year of termination, and six months of employer-paid health coverage costs for participants who are involuntarily terminated without cause or who resign for good reason within 24 months following a change in control, subject to signing a participation agreement, executing a release of claims, and complying with confidentiality, non-solicitation, and non-competition covenants, and generally precludes receiving duplicative severance under other company arrangements.
