On December 22, 2025, Snow Lake Resources announced that Global Uranium and Enrichment Limited’s (GUE) Scheme Booklet for Snow Lake’s proposed acquisition of all GUE shares it does not already own and the cancellation of GUE’s unlisted options in exchange for new Snow Lake warrants was registered by the Australian Securities and Investments Commission. The Scheme Booklet, which sets out details of the share and option schemes of arrangement and includes an Independent Expert’s Report from BDO Corporate Finance Australia concluding that both schemes are fair, reasonable, and in the best interests of GUE shareholders and optionholders in the absence of a superior proposal, will be dispatched to GUE securityholders around December 23, 2025, ahead of scheme meetings scheduled for January 27, 2026. GUE’s independent directors have unanimously recommended securityholders vote in favor of the schemes, and if approved by the requisite majorities and the Federal Court of Australia, the transaction would see GUE delisted from the ASX in mid-February 2026, with new Snow Lake shares commencing trading on Nasdaq, consolidating Snow Lake’s control over GUE and potentially reshaping its scale and presence in the uranium sector.
